Terms and Conditions for Peeg

Welcome to Peeg. These Terms and Conditions (“Terms”) govern your use of the Peeg mobile-based SaaS application (“Peeg” or the “Service”), which is available on the Google Play Store and Apple App Store. By downloading, subscribing to, or using Peeg, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Service.
1. Introduction
Peeg is a subscription-based mobile application that provides meal planning services. It is an entity controlled by Honeycomb Hair LLC under a business as. The Service is offered on a monthly subscription model and is primarily available to users in the United States, Canada, and Mexico. These Terms form a legally binding agreement between you (“User” or “you”) and Peeg (the “Company,” “we,” or “us”). They explain your rights and obligations when using the Service. We recommend you read these Terms carefully alongside our Privacy Policy. Your access to and use of Peeg is conditioned on your acceptance of and compliance with these Terms.
2. User Eligibility
To use Peeg, you must meet the following eligibility criteria:
- Age Requirement: You must be at least 18 years old to create an account and purchase a subscription. Users under 18 (and above the minimum age of 13) may only use the Service under the supervision and with the consent of a parent or legal guardian. Peeg is not intended for children under 13, and we do not knowingly collect personal information from anyone under 13 years of age.
- Region Restrictions: The Service is currently offered to users located in the USA, Canada, and Mexico. By using Peeg, you represent that you reside in one of these regions. If you access or use the Service from outside these countries, you do so on your own initiative and are responsible for compliance with any local laws that may apply. We reserve the right to restrict access to the Service in any other jurisdictions.
By meeting the above criteria, you confirm that you have the legal capacity to enter into this agreement. If you do not meet these requirements, you must not use the Service.
3. Subscription and Payment
Peeg operates on a subscription model. The following terms apply to subscriptions and payments:
- Subscription Fee: Access to Peeg’s premium features requires an active subscription. The subscription fee is $9.99 (USD) per month (or the equivalent in local currency for Canada or Mexico). Taxes or fees may apply depending on your location and will be added at checkout if required by law.
- Billing Cycle: Subscriptions are billed on a monthly recurring basis. Your billing cycle begins on the date you purchase a subscription and renews on the same day each month thereafter. For example, if you subscribe on the 10th of a month, your renewal date will be the 10th of each subsequent month.
- Auto-Renewal: By default, subscriptions automatically renew at the end of each billing period to ensure uninterrupted service. Your Google Play or Apple App Store account will be charged $9.99 (plus applicable taxes) each month, 24 hours prior to the end of the current subscription period. If you do not wish to renew, you must turn off auto-renewal at least 24 hours before the end of the current period.
- Payment Processing: All payments for the subscription are processed through the platform from which you subscribed (e.g., Google Play or Apple App Store). You must have a valid payment method on file with that platform. Peeg does not store or process your full payment information directly; billing is handled securely by the respective app store under their payment terms and conditions.
- Account Charges: You are responsible for ensuring that the billing information in your app store account is current and accurate. If a payment fails or cannot be processed, we may suspend or revoke your access to the Service until payment is successfully made.
- Cancellation: You may cancel your Peeg subscription at any time. Cancellation will stop future auto-renewal charges, but you will retain access to premium features until the end of the already-paid current billing period. To cancel, use the subscription management features in your Google or Apple account settings. (For example, on Apple devices go to Settings > [Your Name] > Subscriptions, and on Android go to the Google Play Store > Subscriptions.)
- Price Changes: We reserve the right to change the subscription fee in the future. If the price changes, we will provide you with advance notice (for example, via app notification or email). Price changes will not affect your current subscription period, but will apply upon renewal. If you do not agree to a price change, you must cancel your subscription before the new rate takes effect.
By purchasing a subscription, you authorize the app store to charge your payment method the monthly subscription fee (and any applicable taxes) on a recurring basis until you cancel. All fees are in U.S. Dollars unless otherwise stated, and all sales are final subject to our refund policy (see Section 4 below).
4. Refund Policy
Peeg is committed to customer satisfaction, but we also need to establish clear guidelines on refunds due to the digital and subscription-based nature of our Service:
- Standard Policy: All subscription charges are generally non-refundable. Once you have been billed for a new month of service, that charge is final. We do not offer prorated refunds for partial months if you decide to cancel in the middle of a billing cycle. Upon cancellation, you will retain access to the Service for the remainder of the period you have already paid for, but you will not be charged for subsequent periods.
- Cancellation During Free Trial: If Peeg offers a free trial period (if applicable) and you cancel before the trial ends, you will not be charged. If you do not cancel before a free trial expires, the subscription will convert to a paid subscription and the first billing will occur. Charges incurred in this manner are considered authorized and are non-refundable, as you would have full access to the Service once the trial converts.
- App Store Refunds: Purchases of the Peeg subscription are made through the Google Play Store or Apple App Store. Any refund requests must be made in accordance with the refund policies of the platform through which you purchased the subscription. This means:
- For Android users, you may request a refund via Google Play’s support or refund request channels, subject to Google’s refund policies.
- For iOS users, refunds are handled by Apple (you can request a refund through Apple’s reportaproblem.apple.com or Apple Support). Peeg itself cannot directly process refunds for subscriptions because transactions are handled by the app stores. We will, however, abide by the decision of Google or Apple if they grant a refund.
- Exceptional Circumstances: Notwithstanding the above, if you believe you have a special case (such as being charged after timely cancellation or not being able to access the Service after payment), you can contact our support team (see Contact Information in Section 12). We will review requests on a case-by-case basis and, if the issue is within our control, we may coordinate with the app store to address the concern.
- Chargebacks and Disputes: Initiating a chargeback or payment dispute for a valid subscription charge may result in immediate suspension of your account. If you have an issue with billing, we encourage you to contact us first to resolve the matter amicably.
We strive to be fair and transparent. While our general policy is no refunds, we will comply with any obligations under consumer protection laws in the USA, Canada, or Mexico that may require refunds in certain cases. Nothing in this Refund Policy is intended to limit any rights you may have under such laws.
5. User Conduct
When using Peeg, you agree to use the Service responsibly and refrain from any misuse. You must not:
- Unlawful Activities: Use the Service for any unlawful, illegal, fraudulent, or unauthorized purpose. This includes complying with all applicable laws and regulations of your jurisdiction while using Peeg. You agree not to engage in any activity that would constitute a criminal offense or give rise to civil liability.
- Interference and Disruption: Attempt to interfere with or disrupt the integrity and performance of Peeg or its servers. You must not introduce viruses, worms, malware, or any other harmful or destructive code. Similarly, you should not attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to Peeg (for example, by hacking, password mining, or any other illegitimate means).
- Breaches of Data Security: Misuse any data obtained through the Service. You are strictly prohibited from attempting to breach our databases or extract data that you have no authorized access to. Any attempt to scrape, harvest, or illegally collect information from Peeg, or to probe, scan or test the vulnerability of our system or network, is a serious violation of these Terms.
- Reverse Engineering: Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Peeg application or its underlying code. The Service’s software and technology are proprietary (except where using open-source components mentioned in Section 8) and you agree not to recreate or use them for any competitive or derivative works. Any attempt to reproduce the Service’s functionality for nefarious purposes or to develop a competing platform is strictly forbidden.
- Nefarious Manipulation: Intentionally exploit or manipulate the Service in ways not authorized by us. This includes attempting to manipulate Peeg’s operations, such as exploiting bugs or glitches, performing any denial-of-service attacks, or using automated scripts or bots to use the Service in a manner that could disrupt other users or overload the system.
- Inappropriate Content and Behavior: If Peeg allows you to input or share content (for example, user profile info, comments, etc.), you must not share anything that is offensive, defamatory, obscene, pornographic, harassing, or otherwise objectionable. You also agree not to impersonate any person or entity or misrepresent your affiliation.
- Compliance with Third-Party Terms: Abide by any relevant third-party terms when using the app. For instance, you must follow the Google Play Store and Apple App Store usage rules and any third-party service terms that apply via Peeg (as detailed in Section 8). Any violation of those external terms will be considered a violation of these Terms as well.
Consequences of Violations: If you violate any of the above rules or otherwise misuse Peeg, we reserve the right to take action. This may include warning you, removing or disabling access to certain content, suspending or terminating your account (with or without notice), and/or reporting your conduct to law enforcement if it involves suspected criminal activity. Remember, you are responsible for your own actions while using the Service, and breaching these rules may also expose you to legal liability.
We aim to maintain Peeg as a safe, reliable, and trustworthy Service for all users. Please respect these guidelines and conduct yourself in a manner that contributes to a positive user experience.
6. Intellectual Property
Peeg and its contents are protected by intellectual property laws. Here’s what you need to know about our rights and how you can and cannot use our intellectual property:
- Ownership of Service Content: All content, features, and functionality available through Peeg – including but not limited to software code, design elements, text, logos, graphics, images, videos, and any Peeg-specific data – are the exclusive property of Peeg (the Company) and/or its licensors. These materials are protected by copyright, trademark, trade secret, and other intellectual property laws. Peeg and the Peeg logo (and any other Peeg product or service names or slogans) are trademarks of the Company. You do not acquire any ownership rights in the Service content by using the app or by paying for a subscription. All rights not expressly granted to you in these Terms are reserved by the Company.
- Personal License: When you subscribe to Peeg, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Peeg application and its content for your personal, non-commercial use only, in accordance with these Terms. This license is solely so you can utilize the Service as intended (on authorized mobile devices, using authorized accounts). You agree not to use Peeg for any resale, syndication, or other exploitation.
- Prohibited Uses of Our IP: You may not copy, distribute, modify, publish, broadcast, perform, license, create derivative works from, or sell any aspect of Peeg’s software, services, or content (except for your own User-Generated Content, as defined below, or as permitted by law such as under fair use). Additionally, you shall not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on Peeg or any content provided through the Service.
- User-Generated Content: (If applicable) Peeg may allow you to create or upload content (for example, profile information, posts, or other data). You retain any intellectual property rights you hold in the content you create and submit on Peeg. However, by submitting any content through the Service, you grant us a worldwide, royalty-free, sublicensable, and transferable license to host, use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and improving the Service. This license continues even if you stop using Peeg, but will only be used in connection with the Service. You represent that you have the necessary rights to upload any content you provide and that it does not infringe the rights of any third party. We reserve the right (but do not have the obligation) to monitor or remove user-generated content that violates these Terms or applicable law.
- Feedback: We welcome feedback, ideas, or suggestions to improve Peeg (“Feedback”). If you provide Feedback, you acknowledge that it is given voluntarily and that we are free to use the Feedback however we see fit, without any obligation to you. Any improvements or features based on your Feedback remain our intellectual property, and we are not required to credit or compensate you for your ideas.
- Third-Party Intellectual Property: We respect the intellectual property rights of others and expect users to do the same. You agree not to upload or use any content on Peeg that infringes any third-party copyrights, trademarks, or other proprietary rights. If we receive a notice alleging that content you posted infringes another’s rights, or if we otherwise discover this, we may remove or disable access to that content. Repeat infringement by a user may result in termination of that user’s access. If you believe content on Peeg infringes your intellectual property, please contact us (see Section 12) with a detailed notice so we can investigate.
Summary: Peeg’s brand, technology, and content are valuable assets. We grant you a right to use them for the intended purpose of enjoying our Service. In return, we ask that you respect our intellectual property and the rights of others by not using protected material in ways not permitted by these Terms or by law.
7. Privacy and Data Protection
Your privacy is very important to us. Peeg’s collection, use, and disclosure of personal information are governed by our Privacy Policy (which is hereby incorporated into these Terms by reference). We encourage you to read the Privacy Policy to understand how we handle your data. Key points include:
- Data Collection: When you use Peeg, we may collect certain personal information from you, such as your name, contact information, payment details (handled by third-party payment processors as noted), and usage data. We collect and process this information in accordance with applicable privacy laws and only as necessary to provide and improve the Service.
- Use of Data: We use your data to deliver Peeg’s functionalities (for example, maintaining your account, processing subscription payments, saving your preferences and any content you create in the app). We may also use data to personalize your experience, send customer support responses, provide updates/notifications about the Service, and for analytics to improve Peeg’s performance. We do not sell your personal data to third-party marketers.
- Data Storage and Security: Peeg takes reasonable measures to protect your personal information. We implement technical and organizational security practices to safeguard data against unauthorized access, alteration, or destruction. For example, sensitive data is transmitted over secure (encrypted) channels, and stored data may be encrypted at rest. However, no method of transmission or storage is 100% secure, so while we strive to protect your data, we cannot guarantee absolute security.
- Third-Party Data Sharing: We may share certain data with third-party service providers who assist us in operating Peeg (see Section 8 below for details on third-party services). Each of these providers is bound by obligations to protect your information and only use it for the purposes of providing their services to us. Aside from such service integrations, we only share data with third parties in limited cases permitted by our Privacy Policy – such as when required by law, or with your consent.
- User Controls: You have rights and choices regarding your personal data. Depending on your jurisdiction, you may have the right to access personal information we hold about you, request correction or deletion of your data, and opt-out of certain data processing. Our Privacy Policy outlines how you can exercise these rights (for example, contacting us to retrieve or delete your data). Some data is required to maintain your account; if you request deletion of essential data, you may need to terminate your account.
- Privacy Policy Agreement: By using Peeg, you acknowledge that you have read and understood our Privacy Policy and agree to its terms. If you do not agree with how we handle your information as described in the Privacy Policy, please do not use the Service.
We are committed to compliance with relevant data protection laws, including U.S. federal and state laws, Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA) for Canadian users, and Mexico’s Federal Law on Protection of Personal Data (where applicable). If you have any privacy-related questions or concerns, you can reach out to us using the contact information in Section 12.
8. Third-Party Services
Peeg integrates with or uses several third-party services and open-source projects to function effectively. While we carefully choose these providers and components, we want to inform you about them and clarify how they fit into the Service:
- RevenueCat: We use RevenueCat for managing in-app subscriptions and purchase validations. This service helps handle subscription status (such as verifying if your subscription is active, expired, or canceled) across platforms. When you subscribe to Peeg, RevenueCat may process information about your purchase (like transaction identifiers and subscription status) to unlock premium features for your account. RevenueCat operates in the background and complies with Apple’s and Google’s in-app purchase frameworks. By using Peeg and purchasing a subscription, you agree to RevenueCat’s involvement in the subscription process. (For more information on RevenueCat’s practices, you can refer to their terms of service and privacy policy, though this is not required for using Peeg.)
- Supabase: Peeg relies on Supabase as a backend service for our database and user authentication. Supabase stores user data such as your account information, preferences, and any content you may create within the app. It also manages login and security features. Supabase is a third-party cloud service provider that implements robust security measures to protect stored data. By using Peeg, you acknowledge that your data may be stored and processed on Supabase’s servers on our behalf. We ensure that Supabase, as our data processor, is bound to protect your data and not use it for any purpose other than providing services to Peeg.
- Expo Modules: Peeg is built using Expo and related modules, which are open-source components and frameworks that enable various mobile app functionalities (such as camera access, push notifications, location services, etc.). These Expo Modules are incorporated into the app to provide you with a smooth and feature-rich experience. By using Peeg, you also agree to comply with any relevant terms of use or licenses of these modules (which largely concern not misusing the functionalities provided). The use of Expo Modules does not typically involve collecting personal data beyond what Peeg itself collects; they primarily provide device integration features. However, they are crucial third-party pieces of our software stack.
- OpenStreetMap Data: Peeg may utilize mapping data from OpenStreetMap (OSM) to provide location-based features or map visualizations. OpenStreetMap is an open-data project, and its map data is made available under the Open Database License (ODbL). We acknowledge and give credit to “© OpenStreetMap contributors” for any map data used in the Service. While we incorporate OSM data to enhance your experience (for example, to show maps, locations, or geographic information within Peeg), we do not own that map data. OSM data is community-sourced and might occasionally be inaccurate or outdated. By using the mapping features in Peeg, you understand that map data comes from OSM and is subject to its license and community-provided nature. We recommend that you do not rely on OSM maps in Peeg as your sole means of navigation, especially in critical situations, as the data might not be perfect.
- Other Third-Party Libraries/Services: In addition to the above, Peeg may include other third-party libraries, SDKs, or integrations necessary for functionality (for example, analytics tools, crash reporting services, etc.). If any of these services collect data or have terms that affect users, we will disclose them in our Privacy Policy or within the app. Generally, such services operate under our direction to improve the product and are also bound by confidentiality and data protection obligations.
Important Notes Regarding Third Parties:
- Each third-party service or component may have its own terms and conditions or license. By using Peeg, you agree to also comply with any such terms to the extent they apply to end users. For instance, using Peeg’s map features implicitly binds you to respect OSM’s attribution requirements (which we fulfill by crediting OSM in the app) and license terms.
- While we choose reliable third-party services, Peeg is not responsible for any downtime, data loss, or breaches attributable to these external services. We do not control these third parties, so we cannot guarantee they will never have an interruption or issue. If a third-party service that Peeg relies on encounters a problem, it may temporarily affect the Service’s functionality. We will do our best to work with the provider to resolve any such issues promptly, but we cannot accept liability for their failures (see Section 9 on Liability).
- We ensure that any personal data shared with third-party providers is minimized to what is necessary and handled securely. For example, we might share your email with our email service provider to send you a notification, or share a device identifier with RevenueCat to manage your subscription. These providers are not allowed to use your information for their own purposes beyond providing services to us.
- If you have issues caused by third-party components (for example, a subscription not activating properly due to an app store issue, or a map tile not loading), you can reach out to us and we will help liaise or provide guidance, but the ultimate resolution might involve those third parties.
In summary, third-party services are an integral part of how Peeg works. We list them here in the interest of transparency. By agreeing to these Terms, you also acknowledge and accept that Peeg uses these external services and that such usage is subject to the respective third parties’ terms and possible limitations.
9. Liability and Disclaimers
Use of the Service: Peeg is provided to you on an “as is” and “as available” basis. While we aim to offer the best experience, we cannot guarantee that the Service will be flawless or meet all of your expectations. By using Peeg, you agree that you do so at your own risk. This section outlines important disclaimers and limitations of liability:
- No Warranty: To the fullest extent permitted by law, Peeg disclaims all warranties and representations, express or implied, regarding the Service. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that Peeg will be uninterrupted, timely, secure, or error-free, or that any information (including map data or content) provided through the Service will be accurate, reliable, or complete. No advice or information (whether oral or written) obtained from Peeg or our support channels shall create any warranty not expressly stated in these Terms.
- Service Availability and Accuracy: We do not guarantee that Peeg will always be available or that it will be free from errors, viruses, or other harmful components. Scheduled maintenance, updates, or technical issues may occasionally make the Service inaccessible. We will try to give advance notice of maintenance downtime, but emergency updates may occur without notice. Additionally, any data presented (such as location information from OpenStreetMap or other content) is provided for general use without any guarantee of accuracy or suitability for your specific needs. You should not rely on Peeg for any situations where inaccurate or untimely information could lead to personal or financial harm.
- Limitation of Liability: To the maximum extent allowed by applicable law, Peeg and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, loss of data, loss of goodwill, service interruption, computer damage, or system failure, or the cost of substitute services, arising out of or in connection with your access to or use of (or inability to use) Peeg. This is true even if we have been advised of the possibility of such damages, and even if a remedy fails of its essential purpose.
- Cap on Liability: In all cases, Peeg’s total aggregate liability for any claim arising out of or relating to the use of the Service or these Terms is limited to the amount you paid to us for the subscription in the 3 months immediately preceding the event giving rise to the claim (or, if greater, fifty US dollars ($50)). For example, if you have been paying $9.99 per month, our liability would be capped around $29.97 in most situations. If you have not paid anything (e.g., using a free trial or free features), then our liability is limited to $0. This limitation applies to the fullest extent permitted by law.
- Exceptions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. If you reside in a jurisdiction that disallows such exclusions or limitations (for example, certain consumer protection laws in some U.S. states or Canadian provinces), some of the above limitations may not apply to you. In such cases, Peeg’s liability will be limited to the maximum extent permitted by law. Nothing in these Terms is intended to exclude or restrict any liability that cannot be excluded by law, such as liability for personal injury or death caused by negligence, or for gross negligence or willful misconduct.
- Indemnification: (Even though not listed in the sections, it’s common to include) You agree to indemnify and hold harmless Peeg and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) that arise from or relate to your use or misuse of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity. This means that if a third party sues us because of something you did wrong, you may be responsible for any costs or damages we incur as a result. We will notify you promptly of any such claim and cooperate with you (at your expense) in defending it. You have the right to defend and settle such claim, as long as it does not impose additional liability or obligations on us. We reserve the right to assume exclusive defense of any claim subject to indemnification, at our own expense, if we deem it necessary.
- Release: To the extent permitted by law, you release Peeg and its affiliates from all liability relating to any disputes between users of the Service (if the app involves user interactions) or between a user and a third-party whose service is integrated into Peeg. For example, if you have an issue with the accuracy of OpenStreetMap data or a dispute with a third-party provider, you agree that this is a matter between you and that third party, and not against Peeg.
Summary of Section 9: We want to be clear that while we strive to provide a great service, there are inherent limits to what we can promise. This section essentially says that Peeg is provided without extensive guarantees, and that if things do go wrong, our financial liability is very limited. By using Peeg, you acknowledge and accept these limits. If you are unsure about this section or feel you cannot agree to it, please discontinue use of the Service.
10. Modifications to Terms
We may update or modify these Terms from time to time. As Peeg grows and laws or our business practices change, we might need to make adjustments to our Terms. Here’s how that works:
- Right to Update: Peeg reserves the right to change these Terms at any time. We may add, remove, or modify sections in response to new features, changes in legal requirements, or for any other operational reasons.
- Notification of Changes: If we make material changes to the Terms, we will provide you with reasonable notice about the updates. We may notify you by various means, for example, by posting the revised Terms within the app (or on our website, if applicable) and updating the “Last Updated” date at the top, or by sending you an in-app notification or email (if you provided us with your email). In some cases, we might announce changes via app store updates or through social media or other communications. The method of notification may vary depending on the significance of the changes.
- Acceptance of Changes: Any changes to the Terms will be effective when they are posted (unless a later effective date is specified). By continuing to use the Service after the new Terms take effect, you will be deemed to have accepted the revised Terms. If you do not agree with any changes, you should stop using Peeg and, if applicable, cancel your subscription. We want you to always know the terms under which you use Peeg, so we encourage you to review these Terms periodically.
- Material Changes and Consent: In the event that we make a change that requires by law your explicit consent (for example, something that significantly affects your rights or obligations), we will make sure to obtain that consent in accordance with legal requirements. This might be done by asking you to agree to the new terms explicitly (such as clicking “Agree” in the app after an update) before you continue using the Service.
- Minor Edits: Not all changes will be significant. Sometimes we may update the Terms to clarify language or address minor typographical errors. Such edits, while binding, may not be broadly communicated, so it’s still a good idea to check the Terms occasionally.
Remember, these Terms (and any future modifications) form a contract between you and us regarding use of Peeg. Keeping up-to-date with any changes ensures you understand your rights and responsibilities. If you have questions about any update, feel free to reach out to us (see Section 12 for contact info).
11. Governing Law and Dispute Resolution
Peeg is intended for users in the USA, Canada, and Mexico, and while we strive to craft our policies to be fair across these regions, it’s important to know which laws govern these Terms and how disputes will be handled:
- Governing Law: Except to the extent explicitly provided otherwise by local law in your jurisdiction, this Agreement and any dispute or claim arising out of or in connection with it or with the use of the Service (“Dispute”) shall be governed by and construed in accordance with the laws of the State of Washington USA, and the federal laws of the United States applicable therein, without regard to its conflict of law principles. We choose Washington law because Peeg’s headquarters or operations are based in Washington. This governing law will apply to the fullest extent permitted in your region. If you are a resident of Canada or Mexico, mandatory consumer protection laws or other local laws may provide certain rights or remedies in addition to or instead of some U.S. laws, and nothing in these Terms seeks to override any such protections that are unwaivable.
- Jurisdiction: You and Peeg agree that any Dispute that cannot be resolved amicably (see below) and that is permitted to be brought in court will be subject to the exclusive jurisdiction of the state and federal courts located in King County, Washington, USA (or another appropriate venue if we specify). You agree to submit to the personal jurisdiction of these courts for the purpose of litigating any such Disputes. If you reside outside the USA, this choice of jurisdiction does not deprive you of any protection under consumer laws in your country that would allow you to bring or defend claims in your home jurisdiction. For example, if local law in Canada or Mexico allows you to resolve a dispute in local courts despite a contractual choice of Washington courts, that local law may prevail for that specific situation. Our intention is not to deny any party the protections of their home country’s laws.
- Dispute Resolution and Good Faith Negotiation: We strongly encourage you to contact us first to attempt to resolve any concerns or disputes informally before pursuing formal legal action. You can reach us via the contact information in Section 12, and we will attempt to address your concerns in good faith. Often, issues can be resolved quickly through dialogue.
- Arbitration (if applicable): (Optional – include only if the company decides to use arbitration) In the interest of resolving disputes more efficiently, any Dispute (excluding claims for injunctive or equitable relief) may be resolved by binding arbitration on an individual basis. This means you and Peeg would waive any right to have the dispute decided by a judge or jury, and instead, a neutral arbitrator would decide. If we include an arbitration clause, we will specify the rules (e.g., American Arbitration Association (AAA) rules) and that no class actions are permitted. - Class Action Waiver: To the extent permitted by law, you and Peeg agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. This means you cannot sue us as part of a class action, or any consolidated claim, unless such restriction is prohibited by your local law. An arbitrator or court can award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.
- Injunctive Relief: Notwithstanding the above, either party may seek injunctive or other equitable relief in any competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights. This means if someone’s use of the Service is causing irreparable harm, we aren’t restricted to arbitration and can go to court to seek an injunction (and you have the same right for your IP).
International Users: Although Peeg is primarily intended for the USA, Canada, and Mexico, if you access or use the Service from other jurisdictions, you understand that you are doing so on your own initiative, and are responsible for compliance with local laws. Nonetheless, the governing law specified above will still apply to the extent permitted.
This Governing Law and Dispute Resolution section may seem complex, but its core purpose is to determine which laws control this agreement (primarily Washington/USA law, unless your local law overrides) and where and how disputes will be handled (preferably through direct communication, potentially arbitration, or specified courts). Our goal is to handle all issues fairly and efficiently.
